ANTI-AVOIDANCE
A new implied term for contracts of employment?*

In a case currently before the courts in Hong Kong, Sunny Tadjudin v. Bank of America, National Association,[1] the plaintiff employee seeks recognition of a new implied term in the common law contract of employment — the so-called “anti-avoidance” term. This implied term is said to restrain an employer from engaging “in tactics which evade the operation of an express term that confers a certain or conditional benefit upon the employee.”[2]

If successful, this case may provide employees in Hong Kong with an important new means of challenging employer decisions. Common law rights under the contract of employment assume central importance in Hong Kong because there are limited statutory means of redress for employment disputes.[3]

And, even in Australia where there are numerous statutory avenues of redress for employment disputes, common law claims remain relevant. This is particularly so for high income earners for whom the statutory means of redress may not be suitable (or available) and the potential financial loss at stake may justify the time and expense of such litigation. The Tadjudin case may pave the way for a claim seeking recognition of a similar implied anti-avoidance term as part of the common law of employment in Australia.

UNDANG-UNDANG ANTARABANGSA DAN GLOBALISASI EKONOMI: IMPLIKASI KEWANGAN DAN PERDAGANGAN TERHADAP MALAYSIA*

Banyak negara membangun terperangkap dengan rhetorika globalisasi yang menjanjikan kemakmuran kepada semua dengan membuat komitmen membuka pasaran mereka kepada gagasan ekonomi Barat. Walaupun sudah terlanjur, mereka masih tidak kelewatan dalam mencari peluang dan mengubah sikap segala pihak terlibat dalam mempertahankan kemerdekaan ekonomi, kerana sistem ekonomi dunia mengandungi hambatan dan juga peluang bagi pihak-pihak yang mahu berusaha. Adalah penting bagi setiap pihak di masa ini memahami apakah yang sedang mereka hadapi dan mengambil langkah-langkah konkrit bagi menghadapi siri rundingan baru dan menyusun semula struktur ekonomi negara dan organisasi perdagangan mereka bagi menghadapi cabaran yang sedia menanti.

PENGENALAN

Dalam kerjasama antarabangsa, setiap hubungan yang dijalinkan antara dua, atau di kalangan beberapa pihak sudah semestinya menuntut berlakunya perubahan dan penyesuaian mengenai skop keterlibatan dan aktiviti setiap entiti yang terlibat. Demikian juga halnya mengenai penglibatan negara dalam hubungan multilateralisme, ia tidak dapat tidak akan menuntut kepada perubahan dan penyesuaian dalam struktur dan aktiviti dan juga kepada keperluan menganalisa yang berterusan mengenai keberkesanan penglibatan tersebut berdasarkan kepada kepentingan pembangunan negara, dan juga pada kepentingan keadilan dan kesejahteraan sejagat seluruhnya.
