CULTURE AND VALUES - UNDERVALUED ASSETS?

A few weeks ago I was discussing mergers and acquisitions (M&A) with alumni of the London Business School and I asked them how often had the issue of culture come up when M&A or strategic recommendations were being reviewed? We concluded that it is rarely discussed by either investment bankers or consultants, perhaps because their assumption is that if there is a problem of culture, the solution is to replace the people who "don't fit".

I am not suggesting that people ignore national cultural differences. Many best-selling books have been written explaining why ethnic groups behave differently, telling us what to look for and how to interpret what we see or hear. However, I am suggesting that we often overlook the different subcultures within a national culture - subcultures that are peculiar to given industries or even divisions and departments within an organisation.

PENGENALAN

Pembubaran perkahwinan merupakan cara penyelesaian terakhir dalam menghadapi krisis rumahtangga. Islam telah menggariskan bahawa hak atau keputusan menjatuhkan talak atau cerai adalah berada di tangan suami kecuali apabila diminta oleh isteri. Talak menurut Al-Quran ialah dua kali, yang bererti talak tidak boleh dijatuhkan tiga kali sekaligus.[1] Dalam erti kata lain, sungguhpun suami melafazkan cerai dengan tiga talak sekaligus, maka yang bersabit hanyalah satu. Walau bagaimanapun, pada zaman pemerintahan Saidina Umar Al-Khattab, terdapat ramai pihak suami yang menyalahgunakan kuasa talak ini, oleh yang demikian, Saidina Umar Al-Khattab pada penggal kedua pemerintahannya telah membuat dasar, berdasarkan keperluan semasa, bahawa suami yang menceraikan isterinya sekaligus dengan talak tiga, maka jatuh tiga talak dan suami tidak boleh merujuk kembali kepada isterinya.[2] Seseorang suami yang menjatuhkan talak ke atas isterinya tanpa sebab-sebab yang munasabah dikehendaki membayar mutaah.[3] Ini bererti bahawa hak talak itu dikira jatuh semuanya dengan tanggungjawab kewangan yang perlu dipenuhi oleh suami.[4]

KONSEP PERCERAIAN DALAM ISLAM

Perceraian merupakan suatu yang halal tetapi paling dibenci oleh Allah. Rasulullah SAW bersabda sepertimana menurut Abu Dawud dan Ibn Majah yang bermaksud:

PATENT LICENSING AND COMPETITION LAW IN MALAYSIA: AN OVERVIEW

Competition law in Malaysia has been introduced via the Competition Act 2010 which aims to encourage free trade and competition. By virtue of Section 3 of the Competition Act 2010, it provides that the Act is applicable to any kind of commercial activity regardless whether it is carried out within Malaysia or outside Malaysia. As such, patent licensing is not excluded from a Competition law application. Therefore, the aim of this article is to identify provisions relating to patent licensing in the Competition Act 2010.

Introduction

Licensing is the sale of a license authorizing another to use something protected by intellectual property law for example, patent, copyright or trademark.[1] It occurs when the owner of the intellectual property rights, usually known as licensor, permits another person, known as licensee to exploit the intellectual property based on certain considerations agreed by the parties. Licensing of a product enables the licensor to limit the use of the product via the terms contained in the license agreement. Thus, it is a form of limitation of use of the product which can be imposed by the licensor to the licensee if the licensee agrees to the terms of the license agreement.[2] In fact, a license is a contract which gives rights of one party to exploit the other party's rights,[3] also known as license agreement.[4] Since license agreement is a contract, thus it resembles characteristics of a contract namely, it may be made orally or written, be enforceable and parties to the contract will be subjected to liabilities and responsibilities.[5]
