GU KIEN LEE v. KETUA POLIS DAERAH KOTA KINABALU & ANOR [2012] 2 CLJ 317

[1] Issue: (i) Whether it was proper for the police to refuse to investigate a complaint over which two police reports had been lodged, and to have referred the matter to the Magistrate instead of to the Public Prosecutor; and (ii) whether it is within the Public Prosecutor's power to interfere with cases which had been referred to Magistrates pursuant to s. 128(1)(c) Criminal Procedure Code (`CPC'):

"Even where a case had been "referred to Magistrate", s. 133(1A) of the CPC empowers the Public Prosecutor at any stage of the examination to direct the police to investigate the offence complained of and to report thereon to him. If an order had been given to that effect by the Public Prosecutor, s. 133(1B) prohibits the Magistrate from proceeding with the examination of the complainant. It is therefore incorrect for the learned Senior Federal Counsel to suggest that since the complaint had been referred to the Magistrate, the police no longer have any public duty to perform in respect of the two police reports lodged by the complainant." - Per Abdul Rahman Sebli J in Gu Kien Lee v. WHAT ABOUT ILLITERATE GUARANTORS?
A STUDY OF THE ROLE OF SOLICITORS IN BANKING GUARANTEE IN MALAYSIA*

INTRODUCTION

Whether Independent Advice is Necessary

So far in all three-party bank-lending transactions involving undue influence, there is no clear indication by the courts to show that the requirement of independent legal advice is necessary as one of the reasonable steps the lender should take to avoid being fixed with notice.

In the case of Malaysian French Bank Bhd v. Abdullah Bin Mohd Yusof & Ors,[1] the facts clearly showed that it was the borrower who obtained the guarantor's signature to the guarantee. The judge did not even mention the requirement of independent legal advice as one of the reasonable steps the lender should take as a precaution to safeguard from being fixed with notice. In fact in this case, the guarantor alleged that her daughter was not competent to give advice as to the nature of the guarantee since according to her she was acting solely in her interest.[2] The judge had simply referred to the position of the guarantors, who were educated, to conclude that they understood the guarantee without having carefully considered the need for independent advice. He said:

IN THIS ARTICLE, MICHELLE LOI HIGHLIGHTS THE LACK OF PATENTS FOR MALAYSIAN INVENTIONS AND THE STRATEGIC USE OF PATENT OPINIONS BY MALAYSIAN BUSINESS ENTERPRISES.

Intellectual property is a valuable asset and is integral to the success and, ultimately, the value of a business enterprise. A business enterprise has to know the value of its intellectual property assets. An awareness and understanding of the intellectual property rights of competitors will avoid unnecessary expenditure and time wastage in defending an infringement claim or warding off allegations of infringement. This article looks at patents as an asset. Its importance may be seen when a due diligence exercise is performed in the context of business transactions including in instances of mergers and acquisitions.

A patent is a form of intellectual property that confers exclusivity of 20 years to its owner to exploit its invention. An invention in turn has been defined to mean an idea (be it relating to a product or process) which permits in practice the solution to a specific problem in the field of technology. A patentable invention is one that is novel at the time of its priority filing date, involves an inventive step and is industrially applicable.[1]
