[4] Isu: Di dalam kes di mana perbicaraan (di Mahkamah Sesyen) didengar dan diputuskan oleh dua orang hakim, iaitu kes pendakwaan didengar oleh hakim bicara pertama dan kes pembelaan disambung bicara oleh hakim bicara kedua, sama ada hakim bicara pertama perlu menganalisa keterangan dan memberi sebab-sebab mengapa beliau memutuskan terdapatnya kes prima facie terhadap tertuduh dan memanggilnya untuk membela diri.

“Hakim bicara pertama masih berkewajipan menyatakan alasan-alasan akan sebab-sebab beliau memutuskan terdapatnya suatu kes prima facie dan memanggil perayu membela diri sepertimana s. 308 Kanun Tatacara Jenayah dan bukannya dengan hanya memberi suatu keputusan secara konklusif sahaja apabila dari awalnya lagi hakim bicara pertama telah pun mengetahui jika pembelaan dipanggil maka kes pembelaan akan diteruskan pendengaran oleh hakim bicara kedua. Ia bukan sahaja memudahkan pihak perayu mengetahui sebab-sebab beliau dipanggil untuk membela diri, tetapi juga memudahkan hakim bicara kedua mengetahui apakah keterangan-keterangan yang dipertimbangkan untuk menunjukkan suatu kes prima facie telah berjaya diwujudkan ke atas perayu. Adalah tidak wajar juga untuk hakim bicara kedua membuat penilaian kedua bagi perbicaraan kes pendakwaan yang tidak didengar oleh beliau” – oleh Mariana Yahya PK di dalam Md Fairuz Ali lwn. IN THIS ARTICLE, PHUAH LEE ZHIN REVIEWS THE CASE OF PRIMUS (MALAYSIA) SDN BHD V. RIN KEI MEI & ORS ON WHETHER A COMPANY CAN REDUCE ITS CAPITAL TO NIL.

Introduction

The question of whether a company can undertake a reduction of its capital to nil was considered in the Federal Court in Primus (Malaysia) Sdn Bhd v. Rin Kei Mei & Ors.[1] In that case, the arrangement was for the entire issued and paid-up share capital of EON Capital Berhad (“EONCAP”) to be cancelled and for two new ordinary shares in EONCAP to be issued.

Section 64(1) of the Companies Act 1965 (“Act”) provides that subject to confirmation by the court, a company may if so authorised by its articles of association (the “articles”) by special resolution reduce its capital in any way. Whilst the manner in which a reduction can be undertaken does not seem to be limited, section 64(1) of the Act specifies three ways in which the capital reduction can be carried out, namely:

THE USE OF PORTABLE FOOTBALL GOALPOSTS IN MALAYSIA:

IMPLICATIONS FOR LEGAL LIABILITY*

INTRODUCTION

In common with school in many parts of the world, PE is a compulsory subject in Malaysian primary schools. Although school sports are not compulsory, they form an integral part of the extra-curricular activities. In recent years, there have been numerous examples of serious injury and death among Malaysian school children participating in PE and school sport activities. Many of these injuries and fatalities appeared to occur because of the use of dangerous or defective equipment, portable football goalposts in particular. A sample of cases happened in the year 2000 illustrates this phenomenon.

  • In March 2000, two school boys were killed when football goalposts toppled over on to them [1]. These fatalities, which took place in Pahang and within six days of each other, were dismissed as mere accidents.

  • In the earlier incident, the 14-year-old victim of SM Triang was killed when he was struck by a goalpost which toppled after being hit by a football. The Education Ministry has taken a defensive stance, saying that the school was not responsible for the incident because the victim and his friends had apparently entered the school without permission on the first Saturday of the month. The police have classified it as an accident that was beyond the responsibility of the school authority.
